Acceptance of Terms
By accessing, browsing, or utilizing the web properties, client portals, APIs, software platforms, and professional advisory services operated by STHITIDV SOLUTIONS ("STHITIDV", "we", "us", or "our"), you ("Client", "Enterprise", "User", or "you") agree to be bound by these Terms & Conditions and all applicable Master Services Agreements (MSAs), Statements of Work (SOWs), and Service Level Agreements (SLAs).
If you are agreeing to these terms on behalf of a corporation, enterprise entity, or organization, you represent and warrant that you possess the full legal authorization and contractual capacity to bind said entity to these provisions. If you do not agree to all terms stated herein, you must immediately discontinue use of all STHITIDV digital assets and advisory channels.
Scope of Enterprise Services
STHITIDV delivers specialized enterprise digital transformation, cloud orchestration, enterprise resource planning (including SAP S/4HANA, RISE with SAP, and GROW with SAP), and custom artificial intelligence capabilities.
- Clean-Core Architecture: Modernizing ERP and core applications using standard extensibility, modular APIs, and containerized microservices to eliminate legacy technical debt.
- Cloud & Platform Engineering: Migration, multi-cloud hosting orchestration, continuous integration/continuous delivery (CI/CD), and enterprise integration via SAP BTP and Azure/AWS clouds.
- AI Accelerators & Automation: Deployment of specialized frameworks including KTern.AI, KEBS, Model Context Protocol (MCP) integrations, and retrieval-augmented generation (RAG) pipelines.
- Managed & Advisory Services: 24/7/365 application support, systems monitoring, regulatory audit alignment, and organizational change enablement.
Specific project timelines, milestones, deliverables, and acceptance criteria are formally detailed in individually signed Statements of Work that reference and incorporate these general terms.
Intellectual Property & Clean-Core Licensing
STHITIDV respects intellectual property rights and guarantees transparent ownership structures:
- Client Materials & Custom Deliverables: All proprietary business data, trade secrets, custom business logic, and bespoke software artifacts developed exclusively for the Client under a dedicated Statement of Work shall vest in and belong to the Client upon full satisfaction of contractual fee payments.
- STHITIDV Pre-Existing IP & Accelerator Platforms: STHITIDV retains sole and exclusive ownership of its pre-existing foundational code, proprietary methodologies, accelerators (such as KTern.AI and KEBS frameworks), baseline schemas, and domain libraries. Clients receive a worldwide, non-exclusive, non-transferable perpetual enterprise license to utilize such components as integrated into their deliverables.
- Feedback: Any suggestions, enhancements, or feedback provided regarding STHITIDV's general software platforms may be incorporated into standard platform releases without obligation or royalty.
Data Governance, Confidentiality & Zero-Retention
Information security and data privacy are cornerstones of the STHITIDV delivery methodology. We comply with GDPR, HIPAA, SOC 2 Type II, and ISO 27001 data governance standards.
Zero-Data Retention Commitment for AI Workloads
STHITIDV guarantees that client proprietary data processed through our enterprise AI pipelines, LLM gateways, and MCP nodes is subjected to strict Zero-Data Retention (ZDR) protocols. Client data is never stored persistently without explicit consent, nor is it ever utilized to train public or foundational artificial intelligence models.
Each party agrees to maintain the strict confidentiality of all non-public technical, commercial, and operational information disclosed by the other party, applying at least the same degree of care as it uses for its own confidential assets of like sensitivity, but in no case less than reasonable care.
AI Platforms & Model Context Protocol (MCP) Standards
When utilizing STHITIDV autonomous agents, Model Context Protocol (MCP) tool orchestrations, or generative AI assistants, the Client acknowledges:
- Human-in-the-Loop Safeguards: Autonomous agents deployed for enterprise transactions (including financial approvals, master data changes, and supply chain allocations) incorporate configurable approval thresholds and automated audit logs.
- Output Verification: While STHITIDV utilizes state-of-the-art enterprise frontier models and deterministic RAG verification, the Client remains responsible for validating business-critical outputs in production environments according to established governance policies.
- Ethical and Lawful Usage: Clients must not attempt to bypass safety guardrails, reverse-engineer proprietary weights, or utilize AI capabilities to process unlawful, defamatory, or prohibited payloads.
Client Obligations & Co-Innovation
Successful enterprise outcomes require collaborative partnership. The Client agrees to:
- Provide timely access to authorized client stakeholders, testing sandboxes, cloud credentials, and legacy documentation required for implementation.
- Ensure all client-provided third-party software licenses (such as SAP, Salesforce, AWS, or Microsoft) are valid and permit integration by authorized implementation partners.
- Review deliverables and provide milestone sign-offs or constructive defect reports within the contractual review windows specified in the applicable SOW.
Service Level Agreements & Uptime Guarantees
For enterprise hosting, managed cloud environments, and MCP runtime hubs, STHITIDV provides Tier-1 availability commitments:
- 99.9% Production Uptime: Measured on a monthly basis, excluding scheduled maintenance windows announced at least 72 hours in advance.
- Severity 1 Critical Incident Response: Under 15 minutes for production-stopping outages with 24/7 dedicated engineering escalation bridges.
- Disaster Recovery RPO / RTO: Recovery Point Objective (RPO) under 15 minutes and Recovery Time Objective (RTO) under 2 hours for geo-redundant multi-zone clusters.
Limitation of Liability & Warranties
Except as explicitly warranted in an executed Statement of Work, all digital tools, demonstration sandboxes, whitepapers, and web content are provided on an "as-is" and "as-available" basis without warranties of any kind.
In no event shall either party be liable to the other for indirect, special, punitive, incidental, or consequential damages (including loss of profits, loss of anticipated savings, business interruption, or data corruption), regardless of the theory of liability. The aggregate liability of STHITIDV arising out of or related to these terms shall be capped at the total amount paid by the Client to STHITIDV under the relevant SOW in the twelve (12) months preceding the incident.
Governing Law & Dispute Resolution
These Terms & Conditions and any disputes arising hereunder shall be governed by and construed in accordance with the substantive laws of Delaware, United States, without regard to its conflict of law principles.
Prior to initiating formal litigation, the parties agree to engage in good-faith executive escalation for a period of thirty (30) days. Any unresolved controversy shall be submitted to confidential, binding commercial arbitration administered under the rules of the American Arbitration Association (AAA) or equivalent international arbitration body agreed upon in the governing MSA.
